# Getting Started

## Overview

Welcome to Sparx! We're excited to get you started on your savings.

Follow this guide to get fully onboarded onto our platform and unlock up to 60% total savings on your recurring expenses.

## Onboarding Steps:

1. Account Onboard Survey: any company member can finish this, unlocks your Sparx portal
2. Create your Sparx Alert email: Admin of your business email manager
3. Connect your SaaS: Admin of your business email manager
4. Connect your AWS: Admin of your AWS account


# Onboarding Survey

## What is this?

* Basic information on your business
* Completed in your account by any of your teammates
* Once completed, unlocks your Sparx portal

## What do we use this for?

* Powers your savings benchmarking so we know what a company of your size, industry, and HQ location should be paying for your expenses
* Gives us the initial information on your insurance for us to get a pricing baseline and find savings

# Sparx Alert email

## What is this?

* Email that you make for the Sparx team with your company's domain (e.g. <finops@yourdomain.com>)

## What do we use this for?

* Our proven 3-prong use:
  * Automatically email common SaaS vendors on your behalf during promotional cycles to find SaaS savings
  * Gather up-to-date contract/pricing information for your SaaS, cloud, and insurance contracts to save you time
  * Send you regular usage reports on your savings across your recurring expenses

## How do I set this up?

Your company's email domain admin can set this up. Here are some examples for Google and Microsoft:

# Connect your Accounts

## What is this?

The  Sparx SaaS platform uses multiple information sources to give you a wholistic view of the usage for your organization's SaaS apps. The main component is wherever your company's business accounts are hosted. Many of our users use both Google (where they create and host business emails) and Okta (where they host their SSO). Combining these two (or Microsoft + Okta) provides the best picture into usage.

## How do I set this up?

When you go to connect Okta on the Sparx Platform page, you will need to input your Okta domain and API token.

   1. Wherever you login or use Okta, this will be the domain of your account<br>

   1. In your Okta Admin dashboard, navigate to **Security > API** in the menu bar
   2. In your API table, choose **Tokens**, then **Create token**<br>

   3. Name your token "Sparx" and click **Create token**
   4. The popup shows you your API key. You can click the Copy button and paste this into the API Token box in Sparx<br>

# Sparx Chrome Extension

## What is this?

There are two types of accounts in your Google Workspace

1. Accounts that connect using Google as an SSO
2. Accounts that connect using Google OAuth tokens (a.k.a. **Sign in with Google**)

The Google Workspace API that we connect to will report your employee's login events when they connect to an app using Google as an SSO, but for the majority of apps where a user **Signs in with Google**, the Workspace API does not report this. We have created the Sparx Chrome Extension to track these login events to give you accurate usage data.

To set this up, you will need to download this chrome extension for your employees. You can read about the type of data collected by the extension [here](/sparx-documentation/product-overview/saas/accounts#sparx-chrome-extension).

## How do I set this up?

Note: This will auto-download the extension on your employees' chrome browsers. You should also send an email to employees with [instructions](#force-download-to-employee-browsers) on downloading the extension themselves for any that do not use a chrome window with their work email logged in.

# Cloud

## What is this?

* Sparx has partnered with Antimetal to offer a cloud savings AI that auto-buys/sells your instances to ensure there is no idle compute
* This can be implemented without any engineering effort and through a one-click connection with your AWS account

Note: This sign up must be done with an Admin account. We currently offer savings only for AWS EC2 instances. In the next few months, we will be adding savings for RDS instances, with GCP and Azure on our roadmap.

## How do I get setup?

* Navigate to the Cloud tab where you will start an onboarding flow
* This will add the Sparx/Antimetal IAM billing account to your AWS account, allowing us to estimate savings and show you savings opportunities

## How do I get setup?

Simply upload your business insurance policy PDF to our portal under the **Insurance > Policies** tab, or in your onboarding. We will analyze this against past coverage and pricing data and produce an estimated savings amount. If we think we'll beat your current rate, we'll reach out with new quotes 2 months before your renewal.

# Policies

In this tab, users can see all of their uploaded policies displayed, request COIs, receive quotes, make changes to their policies, and upload new policies

### **Dashboard**

In the dashboard, each policy is organized by its policy number, policy type, carrier, line of coverage, total cost, credit rating, overpayment percentage and activity status. Each row represents a policy with an individual policy number.&#x20;

Using the information icon listed on each policy, users can download policy documents, request certificates of insurance, and request policy changes. All registered accounts can view this information by default.&#x20;

**Overpayment Percentage** is estimated based on an anonymized, de-identified dataset of customer insurance policy data, including cost, coverage, and YoY price fluctuation. The dataset spans thousands of companies and tens of millions of premium dollars.&#x20;

**Credit rating** assigned to insurance carriers uses a blended assessment of A.M. Best, a global credit rating agency, and proprietary insights into a company’s financial strength and operating performance with its insureds, including likelihood of claims payout and rate fluctuation.

### **Request a Certificate of Insurance (COI)**

Users can request a certificate of insurance by clicking on the information icon on the dashboard. This can also be done by emailing your account manager or <team@usesparx.com>. After completing completing questions on line of coverage, additional requirements, necessary attachments, certificate holders, and addresses, an automated request is sent to our team.&#x20;

We will turn around the request within 24-48 hours via email. Our average turnaround time is less than 2 hours, currently. We take COI turnarounds seriously because we know this is the difference between moving into an office, securing a new customer, and onboarding a new vendor.&#x20;

### **Get a Quote**

Users can request a quote of a new coverage line or additional coverage on an existing line by clicking on the information icon on the dashboard. This can also be done by emailing your account manager or <team@usesparx.com>. After completing completing questions on line of coverage, additional requirements, necessary attachments, certificate holders, and addresses, an automated request is sent to our team.&#x20;

We will correspond with the user over email to turnaround the request expediently.&#x20;

### **Request a Change**

Users can request a change to their existing policy by clicking on the information icon on the dashboard. This can also be done by emailing your account manager or <team@usesparx.com>. After completing completing questions on line of coverage, additional requirements, necessary attachments, certificate holders, and addresses, an automated request is sent to our team.&#x20;

We will correspond with the user over email to turnaround the request expediently.&#x20;

### **Upload a Policy**

If all policies were not uploaded at the time of account creation, the user can upload policies by clicking the "Upload Policy" button. This policy will then be displayed with existing policies on the user's dashboard.&#x20;


# Claims

Understand your previous claims and kick off a streamlined claims process.

### **Claims Dashboard**

Claims are organized by claim identification number, carrier, policy type, policy number, loss date, and status. Closed and open claims tabs can be toggled between.&#x20;

### **Submit a Claim**

Users can submit claim details by clicking on the "Submit a claim" button. This can also be done by emailing your account manager or <team@usesparx.com>. After completing completing questions on line of coverage, additional requirements, necessary attachments, certificate holders, and addresses, an automated request is sent to our team.&#x20;

We will turn around the request within 24-48 hours via email.&#x20;

# Copilot

Sparx's Broker Copilot is here to answer questions about coverage, costs, contracts, and claims.

### Chat

Chat with your AI Insurance Copilot to understand your company's insurance policies in simple terms. Users can ask questions on policy coverage, commercial contracts, hypothetical claims, etc. and get a real-time answer.&#x20;

Topics to ask include:

* "Our customer is requiring X in coverage. Do we have that coverage already?"
* "How much would Y coverage cost?"
* "Are we currently covered if we are hacked and lose revenue?"
* "Explain my D\&O policy like I'm 5."

### Training

The broker copilot is trained on insurance brokerage training manuals, standard to the 2023 Laws and Policies of Commercial Insurance. Your copilot is linked to just your policies so that it can answer questions specific to your company's insurance policies that you upload to the Sparx portal.

### **Live Discussion**&#x20;

At the end of each response, the broker copilot will prompt you to enter a live discussion with a licensed Sparx account manager. We recommend to schedule a live meeting with an account manager if you have questions about coverage, contracts, claims, and costs.&#x20;

A live discussion can be scheduled by responding to the broker copilot in a confirmatory manner. A link to your account manager's calendar will be shown and a meeting can be scheduled without leaving the broker copilot tab.

### **Submitting a Purchase Request**

A purchase request cannot be completed on the broker copilot page. It can be completed by navigating to the [Policies](https://app.gitbook.com/o/VHm3RkArSdp0Wp59iy0n/s/bgKKq6o270nG0vhtLQ0U/~/changes/10/sparx-documentation/product-overview/insurance/policies) tab.&#x20;

# Licenses

Get an overview of your company's SaaS usage.

### Overview

Sparx SaaS works by identifying the list of all third-party apps your employees have logged into and last time an employee logged in to their account with that app. We do this by aggregating login event data from your business email manager and your SSO. You can add accounts, as discussed in the [Accounts](/sparx-documentation/product-overview/saas/accounts) tab. The more data sources you add, the more insight into usage you can view and act on.

### Defining Activity vs Inactivity

We automatically mark a user as inactive if they haven't logged into a SaaS tool in 30 days. You can adjust what you want to define as the inactivity cutoff at the top of the page.

### Deprovisioning Users

We are finalizing a method of deprovisioning accounts from within the dashboard. For now, when you turn off an account from within the Sparx platform, you will need to go to that SaaS tool and cancel the license as well, or you will not capture your savings for this account.


# Insights

See trends in your company's SaaS usage.

### Your Usage Metrics

Usage metrics shown in this tab are based on the universal inactivity cutoff you set in your Licenses tab. These metrics will update if you redefine what you want to consider inactive

### Most recently-added apps

After the SaaS tool is first set up, the Sparx platform will monitor for any new SaaS that has been added. You will be able to see if your employees add something new that you were not aware of and be able to pre-emptively address this before spending gets out of control.


# Accounts

### Available integrations

Currently, Sparx supports direct integration with Google Workspace, Microsoft Azure, and Okta SSO. For any accounts an admin connects from these services, we will use the APIs to get updates on when a user last logged in to these services.

### Data types

Sparx tracks OAuth and SSO login events. OAuth events are where a third-party software uses just a token to gain access to a user, such as any service that allows you to "Sign in with Google". For companies that use an SSO, these SSO platforms track every log in event.

### Data quality

For any SSO connections (Google, Okta, or Microsoft), we will be able to get the most up-to-date login events for your employees, making all of these usage statistics entirely accurate. For any OAuth events, such as "Sign in with Google" or "Sign in with Microsoft", the apps will get identified by our platform and shown to you. All log in events for Microsoft OAuth will be accurate. Google does not track login events for their OAuth, leading us to create the Sparx Chrome Extension.

### Sparx Chrome Extension

You can see instructions on how to setup the chrome extension [here](/sparx-documentation/getting-started/saas/sparx-chrome-extension).

Some details on our chrome extension:

1. Only business website login events are tracked (e.g. airtable.com login is registered, but not twitter.com)
2. All data is encrypted to ensure data safety for users
3. The only data collected for a login event is the email of the user, the base URL (e.g. airtable.com), and the timestamp of the login

This allows us to identify login events that would not be registered without the use of this extension. Electing to not proliferate this extension to your organization will result in inaccurate login data for Google OAuth apps.

# Instances

The instances tab shows a consolidated view of all On-Demand and Reserved Instances across all regions and accounts in your Sparx Workspace.&#x20;

You can filter the instances table on any of the attributes, and you can export the entire table as a CSV or PDF file.&#x20;


# Underutilization Insurance

Sparx's underutilization insurance model ensures that any underutilized Reserved Instances purchased on your behalf by Sparx are automatically transferred and sold out of your account and the difference is refunded in the form of a credit on the following month’s bill.

For example, Sparx recommends a t2.xlarge instance in `us-east-1` (N Virginia). After running for 300 hours, the instance becomes underutilized. When this happens, Sparx will automatically transfer the instance to another company in our customer pool or list it on the EC2 Reserved Instance marketplace so that it is sold to another company. Sparx is constantly scanning the marketplace for the most liquid instance types and will re-size and re-list your instance accordingly. The cost of the window from when the instance became underutilized would then be credited to you out of the next month's bill.&#x20;

For our license management product, we offer the Sparx License Management Chrome extension. This can be distributed by an organization's admin to employees. This extension logs the login events it observes between an employee and any third-party SaaS apps where a business email is used. The only information collected is the name of the SaaS application, the work email used, and the login date-time. This information is governed equally by the standards held within this privacy policy.

### 4. How We Use Your Information

We may use your personal information in ways, including: Provide, maintain, and improve our services; Personalize your experience on our services, including by providing content and recommendations based on your interests; Communicate with you, such as by responding to your inquiries and sending you newsletters and other marketing communications; Monitor and analyze trends, usage, and activities in connection with our services; Detect, prevent, and investigate fraudulent or illegal activities.

By signing up for our Services, you consent to receive all insurance documents – including any identification cards – in electronic form only to an email address you provide, except where electronic delivery is not allowed by law or regulation. You can access your ID cards, policy documents, and related information via any contemporary web browser on an internet-connected device such as a tablet, mobile phone, or laptop. If you are unable to gain access to one of these devices, you are able to contact Sparx at <legal@usesparx.com>.

### 2. Representation of Data Collection

You consent to and agree that Sparx may collect data and Personal Data, as defined by our Privacy Policy from you even though we may not be able to offer you any available products or services for purchase. Sparx currently only sells products or services in a limited number of states and currently only sells limited insurance products. If you voluntarily provide us with any information about yourself or a third party, you agree that Sparx reserves the right to use that data for market analysis, advertising, or other commercial purposes. This is true even if Sparx cannot offer you or a third party products or services for sale at the time you provide us with this information.

As a condition to using certain features of our Services, we automatically create accounts for users. Your email address will be your username. ### 7. Licensed Insurance Agency and Services

Sparx is a licensed insurance agency in the state of New York, License No. 1766562, Casualty Broker-Agent & Property Broker-Agent with a business mailing address located at 20 W 22nd St, STE 701, New York, NY 10010. Sparx Insurance Services LLC is licensed to sell insurance products in all 50 states, the District of Columbia, and Puerto Rico. NPN No. 20543884.

By signing up with Sparx, you agree that we will shop insurance on your behalf. To shop insurance for you, we ask you to authorize us to obtain and review your insurance coverage information by providing your personal information to us. Accordingly, you authorize us to send request(s) to your current insurance company or agent for them to send all your insurance policy information to us, if needed. During the course of using our services, if you have insurance policies with insurance companies we do business with that allow for broker of record changes, we may ask you to appoint Sparx (a member of DAIS Insurance Agency Network, one of nation’s largest insurance agency networks) as your new broker of record. We will not become your broker of record unless you give Sparx express authorization to do so through the sign up process.

Sparx uses third party partners to provide additional quotes for insurance carriers that we do not have direct appointments with. We request our partners and those carriers to share with us certain information, including but are not limited to, policy number, term length, policy premium and effective date, so that we may provide that information to you and enhance your user experience on our site. The information will be what was provided by the carrier and may or may not be accurate based on the processes of the said carrier.

Sparx acts as an agent that represents insurance companies to whom it will submit your insurance application and from whom it will procure your insurance coverage. Sparx makes no warranty of any kind whatsoever – express or implied – with respect to the contents of its Services. SPARX HEREBY DISCLAIMS ANY AND ALL IMPLIED WARRANTIES OF MERCHANTABILITY, TITLE, NON-INFRINGEMENT, AND FITNESS FOR A PARTICULAR PURPOSE. You expressly agree that your use of our Services is at your sole risk. It is solely your independent duty and responsibility to verify and evaluate the accuracy, correctness, reliability and completeness of ANY Services. SPARX PROVIDES ACTUARIAL INSIGHTS AND BENCHMARKING TOOLS TO ASSIST SURETY UNDERWRITERS IN EVALUATING ACCOUNTABLE CARE ORGANIZATION (ACO) RISK PROFILES. HOWEVER, SPARX DOES NOT UNDERWRITE, APPROVE, OR DENY ANY SURETY BONDS, NOR DOES IT MAKE BINDING INSURANCE OR FINANCIAL DETERMINATIONS. THE FINAL UNDERWRITING DECISION REMAINS SOLELY WITH THE SURETY CARRIER, AND SPARX SHALL NOT BE LIABLE FOR ANY LOSSES, DAMAGES, OR BUSINESS CONSEQUENCES RESULTING FROM AN UNDERWRITER’S RELIANCE ON INFORMATION PROVIDED VIA THE PLATFORM.

You must submit a complete application to obtain a particular coverage. Issuance of insurance coverage is dependent on underwriting approval; availability and coverages may vary by state. You must verify information Sparx provides through its Services before relying on that information in whole or in part. Our Service may provide you with offers or quotes with a third party provider of goods or services. However, you agree that we make no guarantee that all users will be provided with such a quote, and that some of these services may only be available to United States residents and corporations or only available in a portion of states. Sparx may receive fees or commissions from insurers or other third parties with respect to certain transactions made in connection with our Services. Nevertheless, you acknowledge that we are not responsible for any fee arrangement or the terms of any agreement you may enter into with a provider of a product or service through our Services. You hereby release Sparx of any loss, cost, damages, or claim in connection with or arising from your use of a service or product, including any fees charged.

### 12. Intellectual Property Rights

Our names, graphics, and logos used in connection with our Services, service marks, icons, page headers, page layouts, scripts, and unique terminology are our trademarks and trade dress (collectively, “Proprietary Marks”) in the United States and other countries. You may not use our Proprietary Marks without our express and written permission. Any information, advice, data, software, or other content, which may be contained in or downloaded from our Services (collectively, “Content”), including, but not limited to, all text, graphics, charts, images, videos, line art, icons, and renditions, are copyrighted by, or otherwise licensed to, us or our Content suppliers. Any access you may have, including but not limited to, viewing, reading, printing, downloading or otherwise using the Content does not waive any of our rights and does not entitle you or any third party to any ownership or intellectual property rights.

The Terms of Service are between you and Sparx, and no provision within the Terms of Service confers any implied or express right to any third party. The Terms of Service do not provide you with any authority to bind Sparx in any way.

### 15. No Fiduciary or Advisory Relationship

THE PLATFORM’S OUTPUTS ARE FOR GENERAL INFORMATIONAL PURPOSES ONLY AND DO NOT CONSTITUTE FINANCIAL, LEGAL, INVESTMENT, OR UNDERWRITING ADVICE. By using our Services, you agree to personal and exclusive jurisdiction of the state and federal courts of New York in order to resolve any dispute arising from your use of the Services, including but not limited to the enforcement of any arbitration award. You further agree to waive any objection to such jurisdiction or venue.

By making User Content available on or through our services, you grant us a worldwide, non-exclusive, royalty-free, fully paid, transferable, and sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display your User Content in any and all media or form of communication. THE DATA AND REPORTS USED IN THE PLATFORM, INCLUDING BUT NOT LIMITED TO CMS QUARTERLY BENCHMARK REPORTS, AUDITED FINANCIALS, AND INTERIM FINANCIALS, MAY BE INCOMPLETE, DELAYED, OR SUBJECT TO REVISIONS. SPARX IS NOT RESPONSIBLE FOR ANY DISCREPANCIES OR UPDATES IN THIRD-PARTY DATA SOURCES AND MAKES NO WARRANTIES REGARDING THE COMPLETENESS, ACCURACY, OR TIMELINESS OF SUCH INFORMATION.

### 26. **No Underwriting Services**

Sparx may obtain, review and track certificates of insurance for you. Sparx does not independently verify the information in these certificates of insurance. You must not rely on the information provided by Sparx as an alternative to legal advice from an attorney nor should you delay seeking legal advice, disregard legal advice, or commence or discontinue any legal action.

You should also understand that a certificate of insurance is an informational document that evidences the existence of the policy to which it refers. It does not create any coverage or legal obligations between the insurance company and the certificate holder. Nor does it confer additional insured status to a certificate holder. A certificate of insurance does not alter the terms of the parties’ underlying contract or indemnity agreement.

A certificate of insurance typically identifies the agent or broker, the insured, and the insurer providing the coverage. It also gives basic information about the policy to which it refers, including the type of insurance, the policy number, the effective and expiration dates of the policy and the liability limits. Unless otherwise expressly stated in writing, nothing contained on this website or provided to you by Sparx should be construed as modifying, changing or altering your policy or coverage thereunder.

The A.M. Best ratings for insurance companies change frequently. Contact Sparx for the most current rating.

### 31. **No Guarantee of Services**

Sparx is constantly changing and improving its Services. We may add or remove functionalities or features, and we may suspend or stop a Service altogether. We may terminate, suspend, change, or restrict access to all or any part of the Services, in each case without notice or liability.

Sparx also reserves the right to limit the availability of the Services or the provision of any Content to any person, organization, geographic area or jurisdiction, at any time and in its sole discretion.

### 32. **Access Outside the United States**

If you access the Services from outside the United States, you are responsible for compliance with foreign and local laws. Sparx does not provide insurance brokerage or other services to governments, governmental agencies, businesses, individuals, other groups, or any of their agents that are subject to U.S. trade sanctions. By using the Services, you represent and warrant that you are not subject to any U.S. trade sanctions.

### 33. Informal Dispute Resolution

For any dispute with Sparx, you agree to first contact us at <legal@usesparx.com> and attempt to resolve the dispute with us informally. In the unlikely event that we are not able to resolve the dispute after 60 days, we agree that any and all disputes, claims or controversies arising out of or relating to these Terms or the Additional Terms shall be submitted to JAMS, or its successor, for mediation, and if the matter is not resolved through mediation, then it shall be submitted to JAMS, or its successor, for final and binding arbitration pursuant to the arbitration provision below.

Either party may commence mediation by providing to JAMS and the other party a written request for mediation, setting forth the subject of the dispute and the relief requested. The parties will cooperate with JAMS and with one another in selecting a mediator from the JAMS panel of neutrals and in scheduling the mediation proceedings. The parties agree that they will participate in the mediation in good faith and that they will share equally in its costs.

All offers, promises, conduct and statements, whether oral or written, made in the course of the mediation by any of the parties, their agents, employees, experts and attorneys, and by the mediator or any JAMS employees, are confidential, privileged and inadmissible for any purpose, including impeachment, in any arbitration or other proceeding involving the parties, provided that evidence that is otherwise admissible or discoverable shall not be rendered inadmissible or non-discoverable as a result of its use in the mediation.

### 34. Arbitration

READ THIS SECTION CAREFULLY BECAUSE IT REQUIRES THE PARTIES TO ARBITRATE THEIR DISPUTES AND LIMITS THE MANNER IN WHICH YOU CAN SEEK RELIEF FROM SPARX.

If the matter is not resolved by informal negotiations or mediation, then the matter will proceed to arbitration as set forth below.

Any dispute, claim or controversy arising out of or relating to these Terms or the Additional Terms or the breach, termination, enforcement, interpretation or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by arbitration in New York, unless otherwise agreed upon by Sparx. The arbitration shall be administered by JAMS pursuant to either its Comprehensive Arbitration Rules or Streamlined Arbitration Rules and Procedures depending upon the amount of the damages claimed, excluding attorneys’ fees. Judgment on the award may be entered in any court having jurisdiction. This clause shall not preclude parties from seeking provisional remedies in aid of arbitration from a court of appropriate jurisdiction. Nothing in this paragraph shall be deemed as preventing Sparx from seeking injunctive or other equitable relief from the courts as necessary to prevent the actual or threatened infringement, misappropriation, or violation of our data security, intellectual property rights or other proprietary rights.

You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to your use of this site, the Services, the Terms or Additional Terms must be filed within one (1) year after such claim or cause of action arose.

If any provision of the Terms is found by a court of competent jurisdiction or arbitrator or arbitration panel to be invalid or unenforceable, such provision shall be enforced to the maximum extent permissible and the other provisions of the Terms shall remain in full force and effect.

If any action at law or in equity is necessary to enforce these Terms, the prevailing party will be entitled to reasonable fees of attorneys, accountants and other professionals, and costs and expenses in addition to any other relief to which such prevailing party may be entitled.

### 35. **No Class Actions**

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT ANY AND ALL DISPUTES, CLAIMS AND CAUSES OF ACTION YOU MAKE AGAINST SPARX ARISING OUT OF, IN CONNECTION WITH OR IN ANY WAY RELATED TO THE SERVICES WILL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION OR OTHER REPRESENTATIVE PROCEEDING. THIS WAIVER APPLIES TO CLASS ARBITRATION, AND, UNLESS SPARX AGREES OTHERWISE, THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS.

YOU FURTHER AGREE THAT, BY ENTERING INTO THIS AGREEMENT, YOU AND SPARX ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR OTHER REPRESENTATIVE ACTION.

### 36. **Modification of Terms**

Sparx reserves the right to change these Terms from time to time and at its sole discretion. The last time these Terms were revised is set forth below. Your continued use of Sparx’s website after the last revision date indicates your acceptance of any revisions.


# Sparx Platform Disclaimer

### 1.   Risk Score and Forecasting Disclaimer

The risk score provided by the Sparx platform is an actuarial-based projection intended to estimate the likelihood that an Accountable Care Organization (ACO) will achieve shared savings. This score is derived using historical Medicare FFS Claims Data, publicly available benchmark reports, financial statements, and proprietary actuarial models.

However, these projections are forward-looking estimates that are subject to numerous factors beyond Sparx’s control, including but not limited to:

* Changes in regulatory frameworks and Medicare reimbursement policies.
* Variability in provider network performance and turnover.
* Economic and market conditions that affect healthcare costs.
* Data inaccuracies or delays in financial reporting.

### 2.     No Guarantee of Accuracy

Sparx makes no guarantee, representation, or warranty that the risk score, savings probability, or any related forecast will accurately predict future financial or operational performance. Users must not rely solely on these projections when making financial, business, or underwriting decisions.

### 3.     Limitation of Liability

Sparx offers actuarial insights and benchmarking tools as informational resources to support decision-making. The risk score is intended to provide guidance but does not constitute an underwriting decision, nor should it be interpreted as financial, investment, or legal advice.

* While Sparx has been granted certain binding authority in some cases, it does not have the final decision-making authority regarding bond issuance. The ultimate decision to issue a bond, including setting final terms, conditions, and requirements, is made solely by the surety carrier.
* Sparx evaluates risks and provides underwriting assessments using analytical tools, but such assessments are advisory in nature and do not guarantee approval, issuance, or specific terms of any bond.
* Nothing in Sparx’s role or risk assessment should be construed as creating an obligation, express or implied, to approve or issue a bond.
* While Sparx endeavors to provide accurate and meaningful data, it cannot guarantee specific outcomes. Users are encouraged to consider multiple factors when evaluating risk projections.
* Sparx is not liable for financial losses, regulatory matters and penalties, or business disruptions arising from reliance on its risk analytics or projections.
* Users acknowledge that decisions based on Sparx’s tools and reports are made at their own discretion.

To the fullest extent permitted by law, Sparx disclaims all liability for direct, indirect, incidental, consequential, or special damages arising from the use of its risk score, analytics, or financial forecasts.
