This Terms of Service (“Agreement”) constitutes a legally binding agreement between you (“you” or “User”) and Sparx Group Inc., or its subsidiary Sparx Insurance Services LLC (“Sparx” or “we” or “us”) governing your use and access to the software, services, content and products made available to you through the Sparx platform located at usesparx.com and applicable mobile applications (collectively the “Platform”). Sparx and User may also individually be referred to as a “Party” and collectively as the “Parties.” Our affiliates or partners may offer goods or services including but not limited to insurance and software.

By using our Services, visiting our Website, or making an account, you voluntarily accept and consent to the Terms of Service, and your consent and acceptance is supported by sufficient and valuable consideration. You acknowledge that this consideration includes, but is not limited to, access to our Services and your ability to interact with our Services. You expressly represent that you have the capacity to agree to be bound to the Terms of Service and, given that you are acting on behalf of a business entity or other organization, agree that you have the authority to so bind that entity or organization.

Sparx may from time to time issue updated versions of its software and services. You consent to such automatic updates and agree that these Terms of Service will apply to all such updates.

By signing up for our Services, you consent to receive all insurance documents – including any identification cards – in electronic form only to an email address you provide, except where electronic delivery is not allowed by law or regulation. You can access your ID cards, policy documents, and related information via any contemporary web browser on an internet-connected device such as a tablet, mobile phone, or laptop. If you are unable to gain access to one of these devices, you are able to contact Sparx at [email protected].

2. Representation of Data Collection

You consent to and agree that Sparx may collect data and Personal Data, as defined by our Privacy Policy from you even though we may not be able to offer you any available products or services for purchase. Sparx currently only sells products or services in a limited number of states and currently only sells limited insurance products. If you voluntarily provide us with any information about yourself or a third party, you agree that Sparx reserves the right to use that data for market analysis, advertising, or other commercial purposes. This is true even if Sparx cannot offer you or a third party products or services for sale at the time you provide us with this information.

3. Registration

As a condition to using certain features of our Services, we automatically create accounts for users. Your email address will be your username. Logins will require a one-time password or access to your email inbox for verification. You may not use an email address which purports to represent or impersonate a person other than yourself. We reserve the right to refuse or cancel registration of any username in our sole discretion. You are responsible for maintaining the confidentiality of your username and password. You further agree to notify us immediately if you become aware of any unauthorized use involving your username and/or password. You further agree to timely review and reply as appropriate, to any transactional email notices we may send you regarding your Sparx account.

4. Use of our Services

Our Services, as well as their underlying processes, related content, and generated data, may not be used for personal, family, household, informational, or non-commercial use. You may not copy, reproduce, sell, distribute, replicate, duplicate, relay, transmit, broadcast, or license our Services or their underlying processes, related content, or generate data without Sparx’s express written consent. Your use of our Services is not transferable by you to any other person or entity. Your access and use of our Services may be interrupted by, without limitation, maintenance of our equipment or networks, malfunction of our equipment or networks, or inadvertently by a third party or parties. We reserve the sole right to suspend or discontinue the availability of our Services at any time in our sole discretion and without prior notice or consent.

5. Prohibited Activities

You are responsible for anything you transmit to or through Sparx’s Website or to Sparx through email, short message service or text. You represent that your transmissions to Sparx are and will be truthful, accurate, not misleading, offered in good faith and that you have authority to transmit such information. In using our Services, you agree that it is solely your responsibility to avoid certain activities that we deem, at our discretion, to be prohibited. These prohibited activities include without limitation:

  • Criminal activity or tortious activity, including (i) fraud or misrepresentation, (ii) harassment (such as verbal harassment), (iii) infringement or misappropriation of a third party’s copyright, trademark, patent, trade secret, or other intellectual property, (iv) slander, libel, defamation, or use of content that is obscene, pornographic, vulgar or offensive, and (v) content that promotes illegal or harmful activities or substances;

  • Advertising to, or solicitation of, any user to buy or sell any products or services;

  • Using a false email address, phone number, postal address, or contact information. You are also prohibited from using an email address, phone number, address or contact information of another entity or person without authorization;

  • Attempting to access or search the Services or engaging in any automated use of the System, such as using scripts, spiders, crawlers, data mining tools, or the like to collect data, send comments or messages, post on forums, and/or request information;

  • Attempting to probe, scan, or test the vulnerability of any Sparx system or network, or breach any security or authentication measures;

  • Interfering with, disrupting, or creating an undue burden on our Services or the underlying networks;

  • Using information or scraping information from our Services for any purpose whatsoever;

  • Using our Services in a manner inconsistent with any and all applicable laws and regulations; and

  • Encouraging or enabling any other individual to do any of the foregoing.

6. Content

Sparx makes no representations or warranties about the suitability of the content of its Website for any purpose. Sparx provides all content of its Website on an “as is” and an “as available” basis without any warranty of any kind.

7. Licensed Insurance Agency and Services

Sparx is a licensed insurance agency in the state of New York, License No. 1766562, Casualty Broker-Agent & Property Broker-Agent with a business mailing address located at 81 E 3rd St, #11A, New York, NY 10003. Sparx holds several agency licenses in states outside of New York, and is authorized to write business in all 50 states and Washington D.C. as a member of DAIS Insurance Network.

By signing up with Sparx, you agree that we will shop insurance on your behalf. To shop insurance for you, we ask you to authorize us to obtain and review your insurance coverage information by providing your personal information to us. Accordingly, you authorize us to send request(s) to your current insurance company or agent for them to send all your insurance policy information to us, if needed. During the course of using our services, if you have insurance policies with insurance companies we do business with that allow for broker of record changes, we may ask you to appoint Sparx (a member of DAIS Insurance Agency Network, one of nation’s largest insurance agency networks) as your new broker of record. We will not become your broker of record unless you give Sparx express authorization to do so through the sign up process.

Sparx uses third party partners to provide additional quotes for insurance carriers that we do not have direct appointments with. We request our partners and those carriers to share with us certain information, including but are not limited to, policy number, term length, policy premium and effective date, so that we may provide that information to you and enhance your user experience on our site. The information will be what was provided by the carrier and may or may not be accurate based on the processes of the said carrier.

8. List of Carriers & Agents We Currently Use

Sparx acts as an agent that represents insurance companies to whom it will submit your insurance application and from whom it will procure your insurance coverage. The following is a non-comprehensive list we currently use and that might bind your policies are: Allianz, Allstate, American Modern, AmTrust, Attune , CannGen, Chubb, CNA, Copper Point, CSE , Deans & Homer, Employers, Foremost, Guard, Hartford, Hourly, ICW Group, Kemper Preferred, Liberty, Midwest, NatGen Premier, Nationwide, Palomar Speciality, PIE, Preferred Employers, Safeco, Stillwater, Travelers, Zenith, CNA Surety.

9. Disclaimers and Limitations on Liability

Sparx makes no warranty of any kind whatsoever – express or implied – with respect to the contents of its Services. SPARX HEREBY DISCLAIMS ANY AND ALL implied warranties of merchantability, title, non-infringement, and fitness for a particular purpose. You expressly agree that your use of our Services is at your sole risk. It is solely your independent duty and responsibility to verify and evaluate the accuracy, correctness, reliability and completeness of ANY Services. We make no warranty or guarantee that any content available for downloading is free from infection from any computer programming or other glitches which may contaminate damage, interfere with, destroy, intercept, or expropriate any system, data, or personal information. We do not make any representations, warranties, or guarantees – express or implied – regarding quotes or offers provided on or through our Services. As such, we expressly disclaim all liability for any content, products, or services furnished from such service providers

We further make no representations, guarantees, or warranties that our Services are appropriate or available for use in jurisdictions outside of the United States of America. If you access or otherwise use our Services from these jurisdictions, you do so of your own volition and risk, and are solely responsible for compliance with local and international law. Sparx will not be held liable to anyone for any liability arising out of, or in any way relating to, any damages, loss, or claim whatsoever, no matter how occasioned, in connection with or arising out of access to or use of the contents of its Services. In no event shall Sparx be liable for any special, indirect, exemplary, or consequential damages or any damages whatsoever, including, but not limited to, loss of use, data, or profits, without regard to the form of any action, including, but not limited to, contract or negligence or other tortious actions, arising out of or in connection with the use, reproduction, or display of the content.

Sparx makes no representations, warranties, or guarantees with respect to quotes, terms, rates, coverage, or services offered to you by insurers or other third parties. Sparx believes the content provided through its Services to be accurate, complete, and current. However, inadvertent technical or factual inaccuracies may arise and, therefore, Sparx does not warrant that its content is accurate, complete, and current. Content that Sparx provides through its Services is meant to assist you with insurance and financial decisions. However, such information merely constitutes a general description of insurance coverage potentially available. Any particular coverage provided to you by any insurance company or other third party is subject to that party’s terms, conditions, exclusions, and underwriting practices. Any coverage recommendations made by Sparx are based solely on a defined set of information provided by you and are limited to the products and coverages offered. You acknowledge and agree that such recommendations may omit coverage that may be necessary or advisable for you and such recommendations may differ from recommendations that you might receive were you to seek advice specific to your individual circumstances.

You must submit a complete application to obtain a particular coverage. Issuance of insurance coverage is dependent on underwriting approval; availability and coverages may vary by state. You must verify information Sparx provides through its Services before relying on that information in whole or in part. Our Service may provide you with offers or quotes with a third party provider of goods or services. However, you agree that we make no guarantee that all users will be provided with such a quote, and that some of these services may only be available to United States residents and corporations or only available in a portion of states. Sparx may receive fees or commissions from insurers or other third parties with respect to certain transactions made in connection with our Services. Nevertheless, you acknowledge that we are not responsible for any fee arrangement or the terms of any agreement you may enter into with a provider of a product or service through our Services. You hereby release Sparx of any loss, cost, damages, or claim in connection with or arising from your use of a service or product, including any fees charged.

11. Indemnification and Hold Harmless

By using our Services, you agree to indemnify, defend, and hold harmless Sparx against any claim, cost, fine, damages, including attorneys’ fees, arising from or related to your use of our Services.

12. Intellectual Property Rights

Our names, graphics, and logos used in connection with our Services, service marks, icons, page headers, page layouts, scripts, and unique terminology are our trademarks and trade dress (collectively, “Proprietary Marks”) in the United States and other countries. You may not use our Proprietary Marks without our express and written permission. Any information, advice, data, software, or other content, which may be contained in or downloaded from our Services (collectively, “Content”), including, but not limited to, all text, graphics, charts, images, videos, line art, icons, and renditions, are copyrighted by, or otherwise licensed to, us or our Content suppliers. Any access you may have, including but not limited to, viewing, reading, printing, downloading or otherwise using the Content does not waive any of our rights and does not entitle you or any third party to any ownership or intellectual property rights.

13. No Third Party beneficiaries

The Terms of Service are between you and Sparx, and no provision within the Terms of Service confers any implied or express right to any third party. The Terms of Service do not provide you with any authority to bind Sparx in any way.

14. Assignment

You may not transfer, assign, or license your rights under the Terms of Service without our prior express and written consent.

15. Void Where Prohibited

Our Services are intended for use for those areas in the United States where we, our affiliates, our partner insurers, our brokers, or our agents are licensed and permitted to sell products and services. Although our Services may be accessed by users in other locations, any offer or transaction for any feature, product, or service is void where prohibited by law.

16. Our Services Are Not Intended for Minors

Our Services are not directed at minors, that is, persons younger than 18 years old. If you are not at least 18 years old, please do not attempt to access our services. We do not knowingly contact or collect personal information from persons under 18 years old, and such a person should not provide us with any information.

17. Governing law and Jurisdiction

You agree that the Terms of Service (and incorporated Privacy Policy and Data Retention Policy) are governed and interpreted by the laws of the State of New York without regard to principles of conflicts of law. By using our Services, you agree to personal and exclusive jurisdiction of the state and federal courts of New York in order to resolve any dispute arising from your use of the Services, including but not limited to the enforcement of any arbitration award. You further agree to waive any objection to such jurisdiction or venue.

18. User Content

You are responsible for the content that you upload, post, or otherwise make available through our services ("User Content"). By making User Content available on or through our services, you grant us a worldwide, non-exclusive, royalty-free, fully paid, transferable, and sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display your User Content in any and all media or form of communication. You represent and warrant that you have all rights, power, and authority necessary to grant the above license and that your User Content does not violate any applicable laws or regulations.

19. Sparx Referral Program

Referrals are paid out in the form of reward tiers. These tiers range from 1 to 500, representing the number of qualified referrals an individual has made to the Sparx platform. A referral is only counted if it meets the criteria of being a qualified referral. A qualified referral is strictly defined on the use of the Sparx insurance savings platform and is not qualified by the sale of insurance. A qualified referral must present a business insurance policy of at least $1500 USD. For this referral, the individual who makes this referral will receive one point added to their qualified referral count. For the referred business, a reward may be offered for being referred, being a qualified referral, and for signing up within a certain time period. For the individual at the referred business to receive his or her first referral point on their track, they must be a qualified referral and have a conversation with a Sparx Account Executive to gauge their interest in insurance savings, providing Sparx the right to find insurance savings on their qualified insurance policy at the time of sign up or at the time of policy renewal, or for a net-new policy. Additional criteria for a qualified referral is as follows: The referred customer is not registered, and was not previously registered, with Sparx under any email address or alias; The referring user warrants that (i) each of your Users has a personal relationship with his/her referral or otherwise has the necessary consents to submit their information to the Referral Program; and (ii) each of your Users will comply with all applicable Sparx policies and terms, and any and all applicable laws or regulations.

In order to participate in the Sparx Referral Program, you must ensure that all Users distributing Referrals are natural persons of at least 18 years of age.

Please allow 8 weeks to receive the Referral Reward. Your use of the Referral Reward may be governed by additional or third party terms and conditions. Please note that the Referral Bonus may be issued to you or one of your authorized Users. Any information obtained in connection with the Referral Program will be collected, processed and used in accordance with Sparx's Privacy Policy.

The Referral Reward may qualify as taxable income for you. You are responsible for any federal or state taxes resulting from your participation in the Referral Program. Sparx will not be obligated to report federal and state taxes to relevant authorities, but may report such income as required by law.

Sparx reserves the right to withhold, deny or cancel any Referrals Rewards and/or terminate your Sparx Account if we, in our sole discretion, deem the award of any Referral Rewards as fraudulent, abusive, unethical, suspicious or otherwise inconsistent with these Referral Program Terms, the Platform Agreement or any other applicable laws or regulations.

Sparx reserves the right to suspend or terminate the Referral Program at any time or to change this Referral Program Agreement at any time and for any reason in our sole discretion upon Notice to you or by deactivation of the Referral Link. Your eligibility for the Referral Program and the eligibility of any referrals is determined in the sole discretion of Ramp.

20. Data Deletion and Retention Policy

We have a defined and enforced data deletion and retention policy that is in-compliance with applicable data privacy laws. Our data deletion and retention policy is available below. By using our services, you agree to be bound by our data deletion and retention policy.

This policy applies to all employees, contractors, and other individuals who have access to the organization's data. The policy includes definitions, as clarified here. "Data": Any information that is collected, stored, or processed by the organization. "Data privacy laws": Any laws, regulations, or other legal requirements that apply to the collection, storage, or processing of data, including but not limited to the General Data Protection Regulation (GDPR) and the California Consumer Privacy Act (CCPA).

The policy includes the following clauses: Data must be deleted when it is no longer needed for the purposes for which it was collected; Data must be retained for as long as is required by applicable data privacy laws; Data must be securely deleted when it is no longer needed or required to be retained; Employees, contractors, and other individuals with access to the organization's data must comply with this policy and any related procedures.

This policy is enforceable with the following clauses: Any employee, contractor, or other individual who violates this policy may be subject to disciplinary action, up to and including termination of employment or contract; The organization reserves the right to audit compliance with this policy and take appropriate action in the event of any non-compliance. This policy will be reviewed and updated on an annual basis, or as needed to ensure compliance with applicable data privacy laws.

21. Termination of Your Account or Use of Our Services

We may restrict, suspend, or terminate your use of or access to our Services in the event that you violate the Terms of Service and, at our sole discretion, as permitted by law. We may change the Services or content, or otherwise restrict access to all or parts of our Services without providing notice at our discretion, as permitted by law. Your policy may be canceled or non-renewed for reasons in accordance with state regulations including termination of the policy for a single claim or loss where allowed.

Any information you access on this website does not constitute a recommendation, advice, or complete description of any products, Services, or plan.

Coverage is provided by various insurance companies and is subject to the terms and conditions contained within your specific policy. The availability of coverage under your specific policy depends on the policy language, the facts of the claim and the law of the jurisdiction governing the interpretation of the policy.

You must not rely on the information on this website as an alternative to legal advice from an attorney nor should you delay seeking legal advice, disregard legal advice, or commence or discontinue any legal action based on the Services or Content.

23. Licensed Entity

Sparx Insurance Services LLC is licensed as an insurance broker or agent in various U.S. states. This website is not intended as a solicitation for insurance in any state or province where Sparx is not licensed.

24. Applications Do Not Bind Insurance

Submitting an application for an insurance quotation does not constitute a binder of insurance coverage, although it may be used by Sparx to provide an estimate of the terms, conditions, and costs of coverage. A quotation may be subject to receipt of additional information or other conditions.

25. Benchmarking Data

Sparx uses commercially available benchmarking data. Sparx makes no guarantee as to the accuracy of its benchmarking data. Moreover, this information is not a quote or an offer of coverage at a specified price.

26. No Underwriting Services

Insurance companies decide to offer, renew, cancel or non-renew insurance coverage or otherwise provide customers with the requested insurance products. Sparx does not provide any underwriting services and is not responsible or liable for any resulting loss.

27. Certificates of Insurance

Sparx may obtain, review and track certificates of insurance for you. Sparx does not independently verify the information in these certificates of insurance. You must not rely on the information provided by Sparx as an alternative to legal advice from an attorney nor should you delay seeking legal advice, disregard legal advice, or commence or discontinue any legal action.

You should also understand that a certificate of insurance is an informational document that evidences the existence of the policy to which it refers. It does not create any coverage or legal obligations between the insurance company and the certificate holder. Nor does it confer additional insured status to a certificate holder. A certificate of insurance does not alter the terms of the parties’ underlying contract or indemnity agreement.

A certificate of insurance typically identifies the agent or broker, the insured, and the insurer providing the coverage. It also gives basic information about the policy to which it refers, including the type of insurance, the policy number, the effective and expiration dates of the policy and the liability limits. However, neither the insurance company nor the broker who issued the certificate of insurance has a duty to inform a certificate holder of inaccuracies in, or subsequent changes to, the information contained in a certificate of insurance. There is also no duty to inform the certificate holder that the policy to which the certificate refers has been cancelled or was not renewed.

To fully understand the potential coverage provided under a policy, a certificate holder should secure a copy of the insurance policy and consult with a qualified attorney.

28. Policy Summaries

The coverage, exclusion, endorsement and other summaries provided by Sparx are for general informational purposes only. They not intended to provide legal advice, and should not be treated as such.

Sparx uses its best efforts to prepare the policy summaries, but does not guarantee their accuracy. You should review your actual policy to confirm coverage. The availability of coverage under your specific policy depends on the policy language, the facts of the claim and the law of the jurisdiction governing the interpretation of the policy.

29. No Modification of Insurance Policy or Coverage

Unless otherwise expressly stated in writing, nothing contained on this website or provided to you by Sparx should be construed as modifying, changing or altering your policy or coverage thereunder.

30. A.M. Best Ratings

The A.M. Best ratings for insurance companies change frequently. Contact Sparx for the most current rating.

31. No Guarantee of Services

Sparx is constantly changing and improving its Services. We may add or remove functionalities or features, and we may suspend or stop a Service altogether. We may terminate, suspend, change, or restrict access to all or any part of the Services, in each case without notice or liability.

Sparx also reserves the right to limit the availability of the Services or the provision of any Content to any person, organization, geographic area or jurisdiction, at any time and in its sole discretion.

32. No Guarantee of AI Copilot Accuracy

Sparx provides an AI chatbot, called the "Sparx Insurance Copilot" as a convenient tool for accessing information related to insurance policies. Please be aware that the information provided by the chatbot is for general guidance purposes only and should not be considered as factual or binding. Insurance policies and coverage details may change over time, and the chatbot's responses may not always reflect the most up-to-date information. For accurate and specific information about your insurance policy, we recommend contacting our qualified insurance professionals directly. Sparx shall not be held liable for any inaccuracies or misconceptions resulting from the use of this chatbot. Please also be aware that the name, functionality, service, and other aspects of this chatbot may change at any time, without advance notice to users.

33. Access Outside the United States

If you access the Services from outside the United States, you are responsible for compliance with foreign and local laws. Sparx does not provide insurance brokerage or other services to governments, governmental agencies, businesses, individuals, other groups, or any of their agents that are subject to U.S. trade sanctions. By using the Services, you represent and warrant that you are not subject to any U.S. trade sanctions.

34. Informal Dispute Resolution

For any dispute with Sparx, you agree to first contact us at [email protected] and attempt to resolve the dispute with us informally. In the unlikely event that we are not able to resolve the dispute after 60 days, we agree that any and all disputes, claims or controversies arising out of or relating to these Terms or the Additional Terms shall be submitted to JAMS, or its successor, for mediation, and if the matter is not resolved through mediation, then it shall be submitted to JAMS, or its successor, for final and binding arbitration pursuant to the arbitration provision below.

Either party may commence mediation by providing to JAMS and the other party a written request for mediation, setting forth the subject of the dispute and the relief requested. The parties will cooperate with JAMS and with one another in selecting a mediator from the JAMS panel of neutrals and in scheduling the mediation proceedings. The parties agree that they will participate in the mediation in good faith and that they will share equally in its costs.

All offers, promises, conduct and statements, whether oral or written, made in the course of the mediation by any of the parties, their agents, employees, experts and attorneys, and by the mediator or any JAMS employees, are confidential, privileged and inadmissible for any purpose, including impeachment, in any arbitration or other proceeding involving the parties, provided that evidence that is otherwise admissible or discoverable shall not be rendered inadmissible or non-discoverable as a result of its use in the mediation.

35. Arbitration

READ THIS SECTION CAREFULLY BECAUSE IT REQUIRES THE PARTIES TO ARBITRATE THEIR DISPUTES AND LIMITS THE MANNER IN WHICH YOU CAN SEEK RELIEF FROM SPARX.

If the matter is not resolved by informal negotiations or mediation, then the matter will proceed to arbitration as set forth below.

Any dispute, claim or controversy arising out of or relating to these Terms or the Additional Terms or the breach, termination, enforcement, interpretation or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by arbitration in New York, unless otherwise agreed upon by Sparx. The arbitration shall be administered by JAMS pursuant to either its Comprehensive Arbitration Rules or Streamlined Arbitration Rules and Procedures depending upon the amount of the damages claimed, excluding attorneys’ fees. Judgment on the award may be entered in any court having jurisdiction. This clause shall not preclude parties from seeking provisional remedies in aid of arbitration from a court of appropriate jurisdiction. Nothing in this paragraph shall be deemed as preventing Sparx from seeking injunctive or other equitable relief from the courts as necessary to prevent the actual or threatened infringement, misappropriation, or violation of our data security, intellectual property rights or other proprietary rights.

You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to your use of this site, the Services, the Terms or Additional Terms must be filed within one (1) year after such claim or cause of action arose.

If any provision of the Terms is found by a court of competent jurisdiction or arbitrator or arbitration panel to be invalid or unenforceable, such provision shall be enforced to the maximum extent permissible and the other provisions of the Terms shall remain in full force and effect.

If any action at law or in equity is necessary to enforce these Terms, the prevailing party will be entitled to reasonable fees of attorneys, accountants and other professionals, and costs and expenses in addition to any other relief to which such prevailing party may be entitled.

36. No Class Actions

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT ANY AND ALL DISPUTES, CLAIMS AND CAUSES OF ACTION YOU MAKE AGAINST SPARX ARISING OUT OF, IN CONNECTION WITH OR IN ANY WAY RELATED TO THE SERVICES WILL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION OR OTHER REPRESENTATIVE PROCEEDING. THIS WAIVER APPLIES TO CLASS ARBITRATION, AND, UNLESS SPARX AGREES OTHERWISE, THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS.

YOU FURTHER AGREE THAT, BY ENTERING INTO THIS AGREEMENT, YOU AND SPARX ARE EACH WAIVING THE RIGHT TO A TRIAL BY JURY OR TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR OTHER REPRESENTATIVE ACTION.

Sparx reserves the right to change these Terms from time to time and at its sole discretion. The last time these Terms were revised is set forth below. Your continued use of Sparx’s website after the last revision date indicates your acceptance of any revisions.
